Terms of Service

Last updated: August 6, 2026. Effective immediately upon account creation or first use.

These Terms of Service ("Terms") form a binding agreement between you ("User," "you") and the operator of studioui.ai ("we," "us," "Operator"). By creating an account or using the StudioUI service, you agree to these Terms. If you do not agree, do not use the service.

1. Description of Service

StudioUI is an AI generation platform that enables Users to create images, video, GIFs, audio, and interact with AI text companions via a hosted web interface. The service is offered as follows:

• Free (hosted credits): Generation features available on the hosted, moderated service. Usage is metered in prepaid credits at the rates and pack prices shown on the Buy Credits page at checkout. A starting balance may be provided; additional credits are purchased prepaid. Generation runs on the Operator's infrastructure via third-party AI providers and is subject to content moderation.
• Pro — Bring Your Own Keys (BYO): billed annually. Connect your own AI provider API keys (OpenAI, fal.ai, BFL, etc.); no per-generation usage fees are charged by us for your own-key traffic.
• Pro — Self-Host: billed annually. Run your own ComfyUI / LM Studio backend on your own infrastructure; no per-generation usage fees are charged by us for your own-infrastructure traffic.
• Pro Bundle: billed annually, combining BYO and Self-Host entitlements.

Current plan names and prices are those displayed at checkout on this site and prevail over any figure stated elsewhere.

2. Eligibility and Account

You must be 18 years of age or older (or the age of majority in your jurisdiction) to use this service. By creating an account, you represent and warrant that you meet this requirement. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any suspected unauthorised access.

3. Free Credits and Purchased Credits

Credits are prepaid, non-interest-bearing units that represent a prepaid balance for AI generation on the hosted service. Credit pack quantities and prices are shown on the Buy Credits page at the time of purchase. Credits:

• Are consumed when a generation job is submitted and dispatched to a provider (not merely when output is received).
• Have no expiry on your account while the account is active and in good standing.
• Are not transferable, have no cash value, and are not redeemable for cash.
• May be forfeited on account termination for material breaches of these Terms or the AUP.

4. Pro Plans — Payment and Renewal

Pro plans (BYO, Self-Host, and Bundle) are billed annually at the price displayed at checkout (in the currency shown). Payment is processed through WooCommerce and our payment processor. Where a subscription is offered, it renews automatically unless cancelled before the renewal date; you may cancel at any time through your account settings, and access continues until the end of the paid period.

5. Refund Policy

Credits: Charges apply once a generation job is submitted and provider compute cost is incurred. If a job fails due to a fault on our side — including gateway errors, queue processing failures, billing system errors, or storage failures — the credits consumed will be refunded or re-credited to your account following investigation. Provider-processed generations that complete successfully are non-refundable even if the output is unsatisfactory, because the third-party compute cost has already been incurred.

Pro plan: We offer a 14-day refund from initial purchase date if you have not exceeded reasonable usage. Renewal charges are non-refundable except where required by law.

Australian Consumer Law: Nothing in these Terms limits any right or remedy you may have under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2) or other non-excludable laws. Where statutory guarantees apply, our liability is limited (to the extent permitted) to resupply of the service or the cost of having it resupplied.

6. Acceptable Use

Your use of the service is subject to our Acceptable Use Policy, incorporated into these Terms by reference. Use of the service to generate illegal content, CSAM, or content that violates the AUP will result in immediate termination.

7. Third-Party AI Providers and Data Passthrough

Generation requests are processed by third-party AI providers including but not limited to OpenAI, Black Forest Labs (BFL), fal.ai, Replicate, Luma AI, ElevenLabs, Stability AI, and (for Pro/BYO users) any provider you configure. Your prompts, uploaded images, and other inputs are transmitted to these providers and are subject to their own terms of service and privacy policies.

International data transfer: Some providers (including DeepSeek, available to Pro/BYO users only) process data overseas, including in China. By configuring or using such providers, you consent to this transfer. We do not control third-party providers' data handling practices.

7a. Bring-Your-Own-Key and Self-Host Responsibility

If you use Pro BYO or Self-Host, you connect your own third-party API keys and/or operate your own generation infrastructure (such as ComfyUI or LM Studio). In that case:

• You are solely responsible for your own provider accounts, API keys, costs, usage limits, and compliance with each provider's terms of service.
• You are solely responsible for any content you generate on your own keys or infrastructure, including any lawful adult content you choose to produce on systems you control, and for ensuring that it is legal in every applicable jurisdiction. The Operator does not moderate, host, or store generation that runs entirely on your own keys/infrastructure and accepts no responsibility or liability for it.
• The absolute prohibitions in the Acceptable Use Policy (including the ban on CSAM and other illegal content) apply to BYO and self-host use in full, with no exception. Self-hosting changes who operates the infrastructure, not what the law permits.
• You keep your API keys confidential. You are liable for charges and activity incurred under keys you configure.

8. Intellectual Property

You retain ownership of the inputs you provide (your prompts, uploaded images, etc.). Generated outputs are yours to use subject to the terms of the relevant AI provider and applicable law — we make no warranties about IP ownership of AI-generated content. The StudioUI software, branding, and infrastructure remain the property of the Operator and are licensed (not sold) to you for use during your subscription.

9. Disclaimers and No Warranty

The service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy of AI output, or uninterrupted availability. AI-generated content may be inaccurate, offensive, or unexpected; you are responsible for reviewing outputs before use. We do not guarantee any particular quality, resolution, style, or content of generated media.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Operator's total liability to you for any claim arising from or related to these Terms or the service is limited to the amounts you paid to us in the 12 months preceding the claim. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages. This limitation does not apply to liability that cannot be excluded under Australian Consumer Law.

11. Termination

We may suspend or terminate your account at any time for material breach of these Terms or the AUP, fraudulent activity, or for any other reason with reasonable notice. You may delete your account at any time through settings. On termination, your right to use the service ceases; unused credits will not be refunded except as required by law or at our discretion in the case of Operator-initiated termination without cause.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be notified by email or on-site notice. Continued use of the service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you must stop using the service.

13. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. Before initiating formal dispute proceedings, you agree to contact us in good faith to attempt to resolve the matter.
